Terms of Service

These terms are an agreement between [LEGAL ENTITY NAME] ("SourceLace", "we", "us") and the organization that signs up for or uses SourceLace ("Customer", "you"). They cover the SourceLace app at sourcelace.ai, the SourceLace MCP server and related services (the "Service"). If you accept these terms for an organization, you confirm you may bind it. A signed order form or pilot agreement with us takes priority over these terms where they differ.
1. The Service
SourceLace connects AI assistants to business systems that you choose (your "Sources"), for most Sources using each person's own sign-in. We may improve and change the Service, and will not materially reduce what you have paid for during your subscription term. Features or connectors marked "in testing", "preview" or "coming soon" are provided as they are, may change, and are not covered by any uptime commitment.
2. Accounts and users
You decide who in your organization may use the Service and are responsible for their use of it. Keep sign-in details safe and tell us promptly at security@sourcelace.com about any unauthorized use. Users must be at least 16.
3. Your data
- You own it. Data from your Sources, your prompts, and what you save in the Service ("Customer Data") belong to you. You give us permission to process Customer Data only to provide and secure the Service, as described in our Privacy Policy.
- No training. We do not use Customer Data to train AI models.
- Your rights to connect. You confirm you have the right to connect each Source and to have its data processed by the Service, including under your agreements with the Source's vendor.
- Data processing terms. Where data protection law requires it, our data processing addendum applies; email legal@sourcelace.com for a copy.
4. Changes to your systems
The Service can create, update or delete records in your Sources only where your administrator has turned this on for that Source and object. Each change is shown for review and applied only after a person confirms it. You are responsible for changes that your users confirm. Source systems remain subject to their own vendors' terms.
5. AI output
Answers, charts, documents and drafts produced with AI may be incomplete or wrong. Check important output before relying on it. You are responsible for how you use output, including emails you choose to send.
6. Acceptable use
Do not use the Service to: break the law or anyone's rights; access systems or data you are not authorized to access; try to get around access controls, rate limits or plan limits; probe, scan or attack the Service; reverse engineer it except where law allows; resell it without our written agreement; or build a competing product from it.
7. Fees
Fees, seats, connectors, AI allowance and other limits are set by your plan or order form. Unless stated otherwise, fees are billed in advance, are non-refundable, and exclude taxes. If an invoice is more than 30 days overdue, we may suspend the Service after giving you notice.
8. Ownership of SourceLace
We own the Service, its software and everything we provide other than Customer Data. The SourceLace Connector SDK is licensed separately under the Apache License 2.0. If you send us feedback, we may use it without obligation.
9. Confidentiality
Each of us will protect the other's non-public information with reasonable care, use it only for this agreement, and share it only with people who need it and are bound to protect it.
10. Warranties and disclaimers
We will provide the Service with reasonable skill and care and in line with our documentation. Except as stated in these terms, the Service is provided "as is", and we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
11. Limitation of liability
Neither party is liable for indirect, incidental, special or consequential damages, or lost profits or revenue. Each party's total liability under this agreement is limited to the fees you paid in the 12 months before the claim. These limits do not apply to your payment obligations, to breach of section 6, or where the law does not allow them.
12. Indemnity
We will defend you against third-party claims that the Service infringes their intellectual property, and pay resulting damages awarded. You will defend us against third-party claims arising from Customer Data or from your use of the Service in breach of these terms.
13. Term and ending
These terms last while you use the Service. Either party may end them if the other materially breaches them and does not fix the breach within 30 days of notice. On ending, you may ask us within 30 days for a copy of your Customer Data that the Service stores; we then delete Customer Data within 90 days, except where law requires us to keep it.
14. General
These terms are governed by the laws of [STATE / COUNTRY], and disputes go to the courts of [VENUE]. We may update these terms with 30 days' notice by email for material changes. Neither party may assign this agreement without consent, except in a merger or sale of its business. If one part is unenforceable, the rest still applies. This is the whole agreement about the Service, together with any order form and the documents it refers to.
